Terms of Service

These Terms form an agreement between NOX LLC, doing business as VoiceOrbit, and the person or organization accessing the website, demos, portal, or paid service. By using the service, you agree to these Terms.

VoiceOrbit is operated by NOX LLC, a Louisiana limited liability company.

Service scope

VoiceOrbit provides AI-assisted phone answering, information capture, intake support, call routing, phone-number management, call records, and related tools. Features and limits depend on the selected plan and any accepted order, statement of work, or addendum.

We may improve models, prompts, providers, interfaces, and safeguards so long as we do not materially reduce the core paid service during a current subscription term. Beta or preview features may change or be discontinued.

Accounts and authority

You must provide accurate information, keep credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity under your account and for ensuring that users have authority to act for the customer firm.

If you accept these Terms for an organization, you represent that you can bind it. Accounts may not be sold, shared outside the customer organization, or used to access another firm’s data.

Subscriptions, fees, and taxes

Paid plans are monthly subscriptions unless an accepted order states otherwise. Fees are charged in advance through Stripe, and usage over the plan allowance may be billed at the published or agreed overage rate. You authorize recurring charges to the saved payment method until cancellation takes effect.

Subscriptions renew automatically for successive monthly terms. You may cancel through the customer billing portal or by contacting billing@voiceorbit.io. Cancellation takes effect at the end of the current paid term. Except where law or an accepted order requires otherwise, current-term fees and partially used periods are not prorated or refunded.

Prices exclude applicable sales, use, and similar taxes. We may change renewal pricing with at least 30 days’ advance notice. A changed price applies to a later renewal, not a term already paid.

Customer phone numbers and routing

A customer may request a VoiceOrbit-provided number, forward an existing number, or request a number port. Number availability is not guaranteed. Porting depends on carrier approval, accurate ownership records, and applicable fees and timelines.

The customer is responsible for its carrier account, forwarding configuration, authorized callers, routing and escalation contacts, and an appropriate outage or emergency fallback. Numbers provided through VoiceOrbit remain subject to carrier rules and may not be transferred until outstanding fees and verification requirements are satisfied.

Not a law firm or emergency service

VoiceOrbit is not a lawyer or law firm, does not provide legal advice, and does not decide whether a firm represents a caller. A call, message, demo, or intake does not create an attorney-client relationship with VoiceOrbit or guarantee one with a customer firm.

VoiceOrbit is not an emergency service. People facing immediate physical danger or a medical emergency should contact 911 or the appropriate local emergency service.

Customer responsibilities and legal compliance

The customer controls and must approve its intake questions, statements, disclaimers, staff directory, transfers, callback windows, escalation rules, notifications, and integration instructions. The customer must test the configured workflow before relying on it for live traffic and review outputs appropriate to the risks involved.

The customer is responsible for professional-conduct duties and for privacy, confidentiality, telemarketing, accessibility, call-recording and monitoring notices, consent, retention, employment, and communications laws that apply to its calls and jurisdictions. The customer must have authority to provide data and instructions to VoiceOrbit.

AI limitations

AI-generated speech, transcripts, summaries, classifications, and tool actions may be incomplete, inaccurate, delayed, or misunderstood. Callers may interrupt, provide ambiguous facts, use unsupported languages, or encounter carrier and network issues. Demos and sample recordings are illustrative and do not guarantee identical results.

The customer must maintain human review, escalation, and fallback procedures suitable for time-sensitive, privileged, regulated, safety-related, or high-value calls. VoiceOrbit does not warrant that every call, lead, deadline, conflict, or emergency will be identified.

Acceptable use

You may not use the service unlawfully; misrepresent identity or authority; harass, threaten, defraud, or discriminate; send spam or unlawful telemarketing; collect data without a lawful basis; submit malware; probe or bypass security; overload the service; reverse engineer except where law expressly permits; resell without written permission; or interfere with other customers.

Additional restrictions appear in the Acceptable Use Policy. We may suspend access when reasonably necessary to address abuse, security risk, nonpayment, or legal requirements.

Data, confidentiality, and intellectual property

The customer retains its rights in customer-provided content and call data. The customer grants NOX LLC the rights needed to host, transmit, process, and support that data to provide the service. Each party will protect the other’s nonpublic confidential information with reasonable care and use it only for the agreement, subject to lawful disclosure requirements.

NOX LLC and its licensors own VoiceOrbit software, models and prompt systems developed by us, branding, documentation, interfaces, and service improvements. Feedback may be used to improve the service without compensation, but we will not identify the customer publicly without permission.

Third-party services

The service depends on providers such as OpenAI, Twilio, SendGrid, Stripe, PostHog, carriers, and hosting infrastructure. Third-party outages, policy changes, and integration limitations may affect service. Customer-directed integrations may also be governed by the provider’s terms.

Disclaimers

To the maximum extent permitted by law, VoiceOrbit, the website, demos, and services are provided “as is” and “as available.” NOX LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes warranties that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data, arising from these Terms, even if advised of the possibility.

Except for payment obligations, misuse of the other party’s intellectual property, breach of confidentiality, indemnification duties, fraud, willful misconduct, or liability that cannot legally be limited, each party’s aggregate liability arising from the paid service will not exceed the amounts paid or payable to NOX LLC for the service during the 12 months before the event giving rise to the claim. For free website or demo use, NOX LLC’s aggregate liability will not exceed $100.

Indemnification

The customer will defend and indemnify NOX LLC and its personnel against third-party claims arising from the customer’s call scripts, data, unlawful instructions, failure to obtain required notice or consent, or use that violates these Terms. NOX LLC will defend and indemnify the customer against a third-party claim that the unmodified paid VoiceOrbit service infringes a United States patent, copyright, or trademark, subject to prompt notice, control of the defense, and reasonable cooperation.

Term, suspension, and termination

These Terms continue while you use the service. We may suspend or terminate access for material breach, nonpayment, fraud, abuse, security risk, legal requirement, or conduct that could harm callers, customers, or the service. Where practical, we will provide notice and an opportunity to cure.

Upon termination, access ends and accrued payment obligations remain due. Provisions that by their nature should survive—including confidentiality, intellectual property, disclaimers, liability limits, indemnification, and dispute terms—will survive.

General terms

Neither party is liable for delay caused by events beyond reasonable control, including carrier, provider, internet, utility, labor, government, disaster, or security events. You may not assign the agreement without our consent, except in connection with a merger or sale of substantially all relevant assets. NOX LLC may use subcontractors and may assign to an affiliate or successor.

These Terms are governed by Louisiana law, without regard to conflict-of-law rules. The state and federal courts located in Louisiana have exclusive jurisdiction unless an accepted order states otherwise. If an order, addendum, or signed agreement conflicts with these Terms, the more specific accepted document controls for that subject.

Changes and contact

We may update these Terms prospectively by posting a revised effective date. Material changes affecting an active subscription will be communicated as required by law or the customer agreement.
